APPLICATION  TERMS OF USE AND PRIVACY POLICY

THIS DOCUMENT CONCERNS YOUR RIGHTS AND OBLIGATIONS, AS WELL AS ANY CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MIGHT APPLY TO YOU. PLEASE READ IT CAREFULLY.

GENERAL

Daughters of Charity Ministries, Inc. and its affiliates and subsidiaries (“Organization,” “we,” “us” or “our”) make available, as a convenience to you, the DAUGHTERS OF CHARITY VOCATIONS mobile application, which contains information, education and interactive tools, including, but not limited to, videos and podcasts, related to assisting young women in navigating early discernment and staying up-to-date with events and information to provide resources, guidance, and inspiration for your discernment journey (the “Application”).

The following Terms of Use set forth the general rules and policies governing your use of the Application, and the Privacy Policy provides information about how we (and our third-party service providers on our behalf) collect, store, use, share and protect the information we collect from your use of the Application. The Terms of Use and Privacy Policy are referred to collectively, herein as the “Terms.” BY ACCESSING THE APPLICATION , YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS, AND YOU AGREE TO ABIDE BY THESE TERMS. Depending on your activities when visiting the Application, you may be required to agree to additional terms and conditions. If you do not agree to be bound by these Terms or such additional terms and conditions (as applicable), please do not access or use the Application.

We may, at our sole discretion, modify these Terms at any time without notice, so you should review them frequently. Your continued use of the Application after the date any changes become effective constitutes your acceptance of the then-posted Terms. We have the right to determine whether there has been a violation of the Terms and have the right to determine the action that will be taken in response to a violation, including, but not limited to, legal proceedings.

TERMS OF USE

Links to Third Party Application/Services

The Application may provide hyperlinks to other websites, articles, videos, other third-party media or to social media platforms such as LinkedIn or Facebook that are outside the control of Organization (“linked sites”). These linked sites are made available on the Application only for your convenience and you, therefore, access them at your own risk. We have no control over these linked sites or services offered on the linked sites. Even if the third party is affiliated with us, we are not responsible for the content of its linked sites and inclusion of a link does not constitute our approval or endorsement of the linked site or any products or services offered on the linked site. Your use of such linked sites is governed by the terms of service and privacy policies of the third-party providers of such websites. As such, we are not responsible for the privacy practices or the content of any such linked sites or liable for the acts or omissions of such third parties. We may gain access to information made available via such linked sites. You are responsible for restricting access to information via linked sites using the available controls on such third-party sites and platforms.

Organization makes no warranties or representations, express or implied, about the accuracy, completeness, currency, relevance, appropriateness, or availability of any linked site, the information contained in them, or any products or services they offer. Under no circumstances will Organization be liable, directly or indirectly, for any damages, losses or harm incurred in connection with your use of a linked site.

Ownership of Application and Trademarks

We own and reserve all rights to the Application and our trademarks, logos and tradenames referenced in the Application. The Application and all information and content contained therein are protected by contract law and various intellectual property laws, including domestic and international copyright laws. We make the Application available to for your personal, non-commercial use only, subject to all copyright and other proprietary rights, which we expressly retain. Your use of such items for any reason without our written permission is strictly prohibited. All trademarks, logos and tradenames of any third party in websites linked to our Application are owned by the respective owners of such third-party websites. Nothing in these Terms of Use creates or confers any license or right under any copyright, trademark or other proprietary interest in the Application or any third party’s linked websites. We accommodate and do not interfere with standard technical measures used by copyright owners to protect their materials. Pursuant to 17 U.S.C. Section 512 as amended by Title II of the Digital Millennium Copyright Act (the ‘‘Act’’), We reserve the right to terminate your use of the Application or the information and content contained therein if we determine in our sole and absolute discretion that you are involved in infringing activity, regardless of whether such alleged infringement is a first-time or repeat occurrence and/or whether the material or activity is ultimately determined to be infringing.

No Unlawful or Prohibited Use

As a condition of using our Application, you agree that you will not:

  • access or use the Application for any purpose that is unlawful or that is prohibited by these Terms of Use or in a manner that violates federal, state, local, or international law or regulation, or generally accepted practices or guidelines in relevant jurisdictions (including any laws or regulations regarding the export of data or software to and from the United States or other relevant countries);
  • delete, modify, hack, upload files that contain viruses, corrupted files, or other similar software or programs or otherwise attempt to disable, damage, impair or interfere with the proper functioning of the Application or another person’s computer;
  • use the Application in any manner that could interfere with any other person’s use or enjoyment of the Application;
  • obtain or attempt to obtain unauthorized access to information, documents or materials through the Application; or
  • modify, translate, create derivative works of, copy, distribute, market, display, remove or alter any proprietary notices or labels from, lease, sell, sublicense, clone, transfer, decompile, reverse engineer, or incorporate into any information retrieval system (electronic or mechanical), the Application, or any portion thereof (except that your computer or other device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials, and you may store files that are automatically cached by your web browser for display enhancement purposes);
  • use information or materials obtained from the Application on any other websites or in a networked environment;
  • link to, frame or use any trademark, logo or other proprietary information on the Application without our prior written permission;
  • sell, reproduce, display, distribute, or otherwise use information obtained from the Application in any way for any public or commercial purpose; or
  • use the Application to defame, harass, threaten, or impersonate another person, send unsolicited commercial communications, or otherwise violate the legal rights of any person.

Subject to the restrictions set forth in these Terms, and except for content specifically and expressly made available for redistribution, you may print or download information from the Application only for your personal and other non-commercial use, and not for further reproduction, publication or distribution, provided you keep intact all copyright and other proprietary notices.

Children

The Application is intended for use by adults and those over the age of 13 with their parent or guardian’s permission. By using our Application, you acknowledge and represent that you are 18 years or older or that you are the parent or guardian of such a minor above the age of 13 and consent to such minor dependent's use of the Application. WE DO NOT KNOWINGLY COLLECT OR SOLICIT DATA FROM OR MARKET TO CHILDREN UNDER 13 YEARS OF AGE. If we learn that personal information from users less than 13 years of age has been collected via the Application, we will take reasonable measures to promptly delete such data from our records. If you become aware of any data that we may have collected via the Application from children under age 13, please contact us as provided in the “Questions and Comments” Section at the end of these Terms.

Your Equipment, Devices and Service Providers

You are solely responsible for obtaining the personal computers, other electronic devices, and internet service you use to access the Application. Download speeds, the appearance of content, and the quality of your experience on the Application may vary depending on the software, equipment and internet connections you use.

You are solely responsible for the privacy and security of any information that you download or otherwise store on the personal computer or other electronic device you use to access the Application. You agree to take reasonable steps to safeguard such computers and devices, i.e., by logging off the Application when you are finished using them, not leaving your screen unattended while using the Application, not using the Application where others can see your screen, maintaining and using industry standard anti-virus software, etc. We will not be responsible for any damages as a result of your breach of these obligations.

Choice of Law, Jurisdiction, Geographic Restrictions

Organization maintains the Application from its location in the State of Missouri in the United States of America. The Application are currently intended for use by persons in such jurisdictions and not persons in any “Member States” of the European Union. We do not seek “Personal Data” subject to the General Data Protection Regulation. These Terms will be governed by the laws of the State of Missouri, without regard to its conflicts of laws principles, and the United States of America. Any claims or disputes shall be subject to the jurisdiction of the federal and state courts in St. Louis, Missouri. You waive all jurisdictional and venues defenses and consent to the persona jurisdiction of said courts.

The Application should not be used outside of the United States. Use of or access to the Application may not be legal by certain persons or in certain countries. If you access the Application from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction and any jurisdiction from which you access or use the Application. We make no representations that the information on the Application is appropriate or available for use outside of the United States.

Miscellaneous

The Terms will take effect at the time you begin using the Application. Organization reserves the right, with or without notice, at any time, and for any reason to deny you access to the Application or to any portion thereof, and to terminate the Terms.

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect.

The failure to exercise or enforce any right or provision in the Terms will not constitute a waiver of such right or provision. No waiver of any of the Terms will be deemed a further or continuing waiver of such term or any other term.

PRIVACY POLICY

IMPORTANT NOTE:  This Privacy Policy relates specifically to information gathered through the Application. We understand, acknowledge and respect any individual's right to privacy and the concerns one may have in regard to privacy and security. We recognize the importance of protecting the privacy of information provided by our users, as well as general users of our Application. As such, we have established and implemented this Privacy Policy (“Privacy Policy”) to inform you how we (and our third-party service providers on our behalf) collect, use, share and protect the information we collect in connection with your use of our Application. This Privacy Policy does not apply to information that has had identifiers removed or other actions taken so that you are no longer identified in the data (“de-identified data”). Organization may use and share with third parties any de-identified data for any purposes permitted by applicable law.

What Types of Information Do We Collect?

We collect very limited personal information through the Application. You can generally choose not to provide personal information to us through the Application; however, without certain information we may be unable to provide you with certain assistance, products or services. You would generally be aware of when you are providing such information by submitting it through the Application. In some cases, we or a third-party service provider acting on our behalf may collect certain types of limited personal information automatically whenever you visit the Application. More information on passive collection is provided below in the “How Do We Use Information Collected” Section below.

How Do We Use Information Collected?

We use information that you provide to us in order to provide you with specific services that you request, to provide you with additional services that we believe may be of interest to you, and to operate the Application and conduct our business. For instance, we may use your information in the following ways:

  • For the purposes for which you specifically provided the information including, for example, to enable us to customize informational delivery options per your preferences and to provide you the services requested by you.
  • To respond to emails, provide support, enforce our Terms of Use or other similar matters.
  • To help us run and maintain our Application, study traffic patterns and generally learn about the usage of our Application.
  • To enhance existing features, improve user experience or develop new features, products and services.
  • To verify your identity.
  • As otherwise required or permitted by applicable law, including pursuant to your express consent.

We may conduct analytics on user demographics, interests, and behaviors based upon information provided to us during your use of our Application. We may combine your information with information collected from other individuals to produce aggregated and statistical information that may or may not be completely de-identified in support of these purposes.

Periodic Communications

If you supply us with your postal or email address, you may receive periodic emails or mailings from us with information on products and services provided by Organization, upcoming events, and other promotional information. At various times as you use the Application, you may be given the option of opting-in to receiving certain recurring informational communications from us and/or directly from third parties that will use your contact information, like name and email address, in order to provide such communications. You can unsubscribe from such communications by clicking on the "unsubscribe" link at the bottom of any email newsletter or contacting us as described in the communication.

If you supply us with your telephone number, you may receive telephone contact from us with information regarding Organization products and services, upcoming events, and other promotional information. By supplying us with this information, you authorize all Organization entities and providers and all of their affiliates, subsidiaries, employees, contractors, and agents to contact you, including using autodialed calls, texts, robot calls, and artificial voices or prerecorded voices, at the telephone numbers you provided.

You understand that is not possible to guarantee that any transfer of information over text messaging or e-mail is timely, complete, accurate, private or secure. As a result, we cannot guarantee the absolute timeliness, completeness, accuracy, privacy or security of your information when it is sent via a text message or e-mail. By asking us to transmit information to you through text messaging or e-mail, you accept all risks associated with such transmission.

"Phishing" is a scam designed to steal your personal information. If you receive an email that looks like it is from us asking you for your personal information, do not respond. We will never request your credit card information or other personal information through email. Please let us know if you receive a suspicious email that appears to have come from us via the contact information in the “Questions and Comments” section below.

Passive Collection

As you navigate through our Application, certain information can be passively collected (that is, gathered without your actively providing the information) using various technologies, such as cookies, Internet tags, or web beacons, and navigational data collection (log files, server logs, clickstream). This information typically does not reveal your specific identity (like your name or contact information) but may include information such as:

  • Domain name and host from which you access the Internet;
  • The IP address of the device that you are using;
  • The URL of the website you just came from or the website you navigate to, including data on the links you clicked;
  • The browser name and the device that you are using;
  • Technical information about your computer or other device, such as the browser, operating system and the service provider you are using, and other similar information.
  • Analytical data, such as the date and time you access the Application, what pages were visited and for how long, and other similar information.

This information is generally not considered personally identifiable unless it is combined with account information, contact information, or other information that is unique to you.

The Application may use and combine such information for purposes including, but not limited to, providing services that you requested, as necessary to complete a task you asked us to perform, providing better service to Application visitors (including to troubleshoot problems with the Application), customizing the Application based on your preferences, compiling and analyzing statistics and trends, otherwise administering and improving the Application for user use, and to exercise our legal rights or comply with our legal obligations. Additionally, such information may be combined where we have informed you that passively collected data will be combined with identifying data (for example, if you fill out a form that tells you identification information provided will be matched with automatically collected data).

With Whom Do We Share the Information We Collect?

We do not sell, trade, lease, or rent personal information, including email addresses or contact information of our users to third parties. We may share your information with our other businesses or affiliates, our agents, contractors, or business and e-commerce partners in order that they may perform services for us, including the delivery of services, product information, and other valid business communications to you on our behalf. Purposes may include, but are not limited to, database management, e-mail distribution, and Application management. Frequently this information is not personally identifiable, but it may be if necessary for them to provide services to us. We may share your information in the following ways:

  • With third party service providers that help us operate our business or administer activities on our behalf.
  • With companies that provide services to us, such as hosting services.
  • With companies that are disclosed to you at the time you provide the information.

In the event that we engage in a business transition, such as a merger, acquisition by another entity, or sale or transfer of all or a portion of our products or assets to another party, your personally identifiable information may be transferred to this acquiring entity, though we will take reasonable steps to ensure that your preferences are followed.

We may also share information as permitted or required by law; for example, to comply with a court order or subpoena or to prevent or investigate a crime. There may be instances when we may share your information in order to protect or defend the legal rights or property of Organization, its affiliates or their employees and agents, to protect the safety and security of users, and to protect against fraud. Additionally, we may share information if necessary to enforce these Terms. We reserve the right to report to appropriate law enforcement or government agencies activities that we, in good faith, believe to be harmful or unlawful, with or without providing notice to you.

 How is Your Information Stored?

Customer information collected on our Application and through our services may be stored and processed in the United States or any other country in which we or our service providers maintain facilities.

How is Your Information Protected?

We use reasonable care to protect your personal information provided by you to our Application. We seeks to mitigate risk through a security framework that includes reasonable safeguards to help ensure that we commit to collect, process and use personal information in accordance with applicable laws. Organization operates networks protected by firewall and password protection systems. We will endeavor to encrypt any forms to protect your privacy. If information is sent to our Application, we will endeavor to maintain it in secure databases where it is not available to users on the Internet. We periodically review and modify, where appropriate, our security practices.

Unfortunately, the transmission of information via the Internet is not completely secure. Please be advised that while we strive to protect your personally identifiable information and privacy, we cannot guarantee or warrant the security of any information you disclose or transmit to us through the Application. Any transmission of personally identifiable information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures we provide.

In the unfortunate event that your "personally identifiable information" (as the term or similar terms are defined by any applicable law requiring notice upon a security breach) is compromised, we may notify you by e-mail (at our sole and absolute discretion) to the last e-mail address you have provided us in the most expedient time reasonable under the circumstances; provided, however, delays in notification may occur while we take necessary measures to determine the scope of the breach and restore reasonable integrity to the system as well as for the legitimate needs of law enforcement if notification would impede a criminal investigation.

The safety and security of your information also depends on you. We expect that you will also take all reasonable and appropriate measures to protect the privacy of your personal information and the security of the Application.

Updating Your Information

You may contact us through the contact processes identified in the “Questions and Comments” Section below if you believe information you have submitted to us through the Application is incorrect. Your information can only be deleted in accordance with our data retention policy, and as permitted by law. Further, information may remain in databases, access logs, backup media, and other records. We generally cannot update or remove information from records of third parties. We may take reasonable steps to verify your identity before deleting, granting access or making corrections to information in accordance with applicable law, such as confirming pieces of identifiable information with you already in our possession.

Do Not Track Policy

“Do Not Track” is a proposed standard that is currently under development. As it is not yet finalized, we adhere to the standards set out in this Privacy Policy and we do not currently respond to “Do Not Track” signals on our Application.

Opt-Out

If you do not want to receive email, postal mail, or telephone contact from us in the future, please let us know that you want to be put on our “do-not-contact/share” list by contacting us as described in the “Questions and Comments” Section below. When doing so, please provide us with your exact name, email and/or postal address, and telephone number. We will be sure your name is removed from our mailing lists and added to our “do-not-contact/share” list within a few days.

WARRANTY DISCLAIMERS AND LIMITATION ON LIABILITY

WE SEEK TO PROVIDE USEFUL, HIGH-QUALITY INFORMATION AND TOOLS THROUGH THE APPLICATION, BUT WE CANNOT GUARANTEE THAT ANY INFORMATION IS ACCURATE, COMPLETE, CURRENT, ERROR-FREE, OR FREE OF VIRUSES, WORMS OR OTHER MALICIOUS SOFTWARE. MATERIALS, SERVICES AND OTHER INFORMATION ARE PROVIDED BY US FOR EDUCATIONAL PURPOSES ONLY. THE APPLICATION IS PROVIDED “AS IS.” WE MAKE NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TITLE OR NON-INFRINGEMENT. AVAILABILITY OF THE APPLICATION MAY BE INTERRUPTED FROM TIME TO TIME FOR MAINTENANCE, REPAIR OR UPGRADE OR DUE TO TECHNICAL PROBLEMS, NATURAL DISASTER, EMERGENCY OR OTHER CAUSES. WE CANNOT CONTROL AND ARE NOT RESPONSIBLE FOR THE AVAILABILITY OF THIRD-PARTY COMMUNICATIONS SERVICES NECESSARY TO CONNECT TO THE APPLICATION. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE APPLICATION, ANY LINKED SITES, AND THEIR CONTENT.

PLEASE NOTE THAT, WHILE WE TAKE REASONABLE STEPS TO PROTECT THE PRIVACY AND SECURITY OF CONFIDENTIAL PERSONAL INFORMATION THAT YOU SEND TO US THROUGH THE APPLICATION, BY ITS VERY NATURE, AN APPLICATION CANNOT BE ABSOLUTELY SECURE AND PROTECTED AGAINST INTENTIONAL OR MALICIOUS INTRUSION ATTEMPTS. FURTHERMORE, WE DO NOT CONTROL THE DEVICES OR COMPUTERS OR THE INTERNET OVER WHICH YOU MAY CHOOSE TO SEND CONFIDENTIAL PERSONAL INFORMATION AND CANNOT, THEREFORE, PREVENT SUCH INTERCEPTIONS OF OR COMPROMISES TO YOUR INFORMATION WHILE IN TRANSIT TO US. THEREFORE, WE MAKE NO GUARANTEE AS TO SECURITY, INTEGRITY OR CONFIDENTIALITY OF ANY INFORMATION TRANSMITTED TO OR FROM OUR APPLICATION, OR STORED WITHIN OUR APPLICATION. BEYOND OUR REASONABLE CARE TO SAFEGUARD YOUR INFORMATION WHILE IN TRANSIT, WE CANNOT AND DO NOT GUARANTEE THE ABSOLUTE SECURITY OF ELECTRONIC COMMUNICATIONS OR TRANSMISSIONS SINCE ANY TRANSMISSION MADE OVER THE INTERNET BY ANY ORGANIZATION OR ANY INDIVIDUAL RUNS THE RISK OF INTERCEPTION. YOU ASSUME THE SOLE RISK OF TRANSMITTING YOUR INFORMATION AS IT RELATES TO THE USE OF OUR APPLICATION, AND FOR ANY DATA CORRUPTIONS, INTENTIONAL INTERCEPTIONS, INTRUSIONS OR UNAUTHORIZED ACCESS TO INFORMATION, OR OF ANY DELAYS, INTERRUPTIONS TO OR FAILURES PREVENTING THE USE OUR APPLICATION.

YOU AGREE THAT, TO THE GREATEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO,DAMAGES, FEES, AND PENALTIES IN CONNECTION WITH YOUR USE OF MATERIALS POSTED ON THE APPLICATION, CONNECTIVITY TO OR FROM THE APPLICATION TO ANY OTHER WEBSITE, OR FOR DAMAGES FOR LOSS OF GOODWILL, REPUTATIONAL HARM, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR PERTAINING TO THE USE, OPERATION OR FUNCTIONING OF THE APPLICATION, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. YOU FURTHER AGREE THAT, TO THE EXTENT LIABILITY CANNOT BE LEGALLY EXCLUDED OR DISCLAIMED, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ANY PROVEN DIRECT DAMAGES EXCEED ONE HUNDRED DOLLARS ($100).Some states do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such states, our liability and that of our third-party content providers and their respective agents shall be limited to the greatest extent permitted by law.
